Eco Material Technologies Inc. Announces Proposed $500 Million Offering of Senior Secured Green Notes

HOUSTON, Jan. 24, 2022 /PRNewswire/ -- Eco Material Technologies Inc. (the "Company") announced that it intends, subject to market and other conditions, to offer $500 million aggregate principal amount of Senior Secured Green Notes due 2027 (the "Notes") in a private placement to eligible purchasers under Rule 144A and Regulation S of the Securities Act of 1933, as amended (the "Securities Act"), subject to market conditions and other factors. The Company intends to use the net proceeds from the Notes offering to finance the acquisition (the "Acquisition") where the Company will acquire Boral Limited's North American Fly Ash business ("Boral Resources") and combine it with Green Cement, Inc. ("Green Cement") and pay related transaction expenses.

The Notes to be offered have not been registered under the Securities Act or any state securities laws. The Notes may not be offered or sold within the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The Notes will be offered, by the initial purchasers, only to persons reasonably believed to be "qualified institutional buyers" in reliance on the exemption from registration provided by Rule 144A under the Securities Act and to certain non-U.S. persons in offshore transactions in reliance on Regulation S.
